These Terms of Use (“Terms”) govern your access to and use of https://hs-lcd.com (the “Site”). The Site is operated by Dongguan HuiSoar (“HuiSoar”, “we”, “us”, “our”).
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1) B2B Use Only
The Site is intended for business customers and professional use. You represent you are acting on behalf of a business entity and have authority to bind that entity.
2) Changes
We may modify the Site and/or these Terms at any time by posting updated Terms. Continued use means you accept the updated Terms.
3) Accounts and Security
You must provide accurate information and keep credentials confidential. We may suspend/terminate accounts or access if we reasonably believe there is misuse, risk, fraud, or legal non-compliance.
4) Acceptable Use
You must not:
- violate laws or third-party rights,
- attempt unauthorized access, scraping, probing, or interference,
- upload malware/spam/harmful content,
- use Site content to build competing databases/products without written permission.
5) Intellectual Property
All Site content (catalogs, product images, datasheets, trademarks, text, design, code) is owned by HuiSoar or licensors and protected by IP laws. You may use it only for internal business evaluation/procurement. Any other use requires written permission.
6) Product Information Disclaimer (No Binding Offer)
All product descriptions/specs/photos/stock/lead times are for reference and may change. Site content is not a binding offer. Any binding terms must be confirmed in writing (quotation / order confirmation / proforma invoice).
7) Quotes, Orders, and Contract Formation
- RFQs and quotations are non-binding unless expressly stated otherwise in writing.
- Online checkout/order submission is an offer to purchase. A contract forms only when we issue written acceptance (e.g., order confirmation/proforma invoice) and/or accept payment as specified by us.
- We may refuse/cancel orders for compliance, supply, credit, suspected fraud, or other reasonable reasons.
8) Pricing, Taxes, and Payment Processing
Prices may exclude shipping, insurance, duties, taxes, bank fees, and other charges unless stated in writing.
Payments are processed by third-party providers made available at checkout (and their terms/privacy policies apply). These may include card processing and local payment methods, such as (examples): Stripe, PayPal Checkout, Adyen, Checkout.com, Worldpay, Braintree, Authorize.Net, Cybersource, Square/Block, Global Payments, Fiserv, FIS, Nuvei, Worldline/Ingenico, NMI, dLocal, Rapyd, PayU, PPRO, Airwallex, Mollie, Xendit, Flutterwave/Paystack, EBANX, and wallet/installment options such as Apple Pay, Google Pay, Klarna, Afterpay, Affirm, Alipay, WeChat Pay.
9) Shipping, Delivery, and Risk of Loss
Shipping terms (including Incoterms® where used), delivery estimates, and risk of loss/title transfer are as stated in the order confirmation. Delivery dates are estimates unless guaranteed in writing. Partial shipments may occur unless prohibited by the order confirmation.
10) Inspection, Returns, and Claims
You must inspect products promptly upon receipt. Any claim for shortage, shipping damage, or nonconformity must be reported in writing within 7 days of delivery with supporting evidence.
Return policy: No returns or exchanges are accepted if there is no product quality issue. Any return requires prior written authorization (RMA). Custom/made-to-order products may be non-returnable unless defective.
11) Limited Warranty (12 Months)
Unless otherwise agreed in writing, HuiSoar provides a 12-month limited warranty from the shipment date that products will materially conform to the agreed specifications at shipment, under normal use.
Exclusive remedy (at our option): repair, replacement, or refund of the purchase price for verified nonconforming products after inspection/return. Warranty excludes misuse, improper installation, modification, abnormal conditions, third-party components, and wear and tear.
12) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA).
- OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED USD 100 OR THE AMOUNT PAID BY YOU TO HUISoar THROUGH THE SITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
14) Indemnification
You agree to indemnify and hold harmless HuiSoar and its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising from your breach of these Terms or misuse of the Site.
15) Export Controls and Sanctions
You agree to comply with applicable export control and sanctions laws and not use products for prohibited end uses/end users. We may refuse/cancel transactions to maintain compliance.
16) Confidentiality (B2B)
Non-public information (pricing, drawings, test reports, samples, BOMs) is confidential and may be used only to evaluate or perform the business relationship and must not be disclosed without prior written consent.
17) Force Majeure
We are not liable for delays or failure to perform due to events beyond reasonable control (supply disruptions, carrier delays, customs holds, natural disasters, epidemics, war, government actions, power/Internet failures).
18) Governing Law and Dispute Resolution (China)
These Terms are governed by the laws of the People’s Republic of China (excluding conflict of laws). Any dispute arising out of or in connection with these Terms shall be submitted to the competent courts located in Dongguan, Guangdong, China, and you agree to such jurisdiction and venue.
19) Miscellaneous
If any provision is unenforceable, the remainder remains in effect. No waiver unless in writing. You may not assign without our consent; we may assign to affiliates or successors. These Terms are the entire agreement regarding Site use.
